Terms of service.

1. About these terms.

These terms of service ("Terms") are issued by Paperclip Education, an Australian business ("Paperclip Education", "we", "us" or "our"). In these Terms, "you" means the individual or organisation accessing or using the services described below.

These Terms apply to:

• the website located at paperclipeducation.com (the "Website");
• the free applications provided by Paperclip Education, being Music Analysis, The Record Lounge, Sightreading Cheetah, Note Ninja, The Music Machine and Atomik (the "Free Products"); and
• the teaching materials, including lesson plans and units of work, made available by Paperclip Education, whether free of charge or for a fee (the "Teaching Materials").

Products with separate terms. MusiCal, Music Master and First Draft are each governed by their own terms of service, published on their respective websites. These Terms do not apply to those products.

By accessing or using the Website, a Free Product or any Teaching Materials, you agree to be bound by these Terms. If you accept these Terms on behalf of a school or other organisation, you represent that you have authority to bind that organisation.

2. Use of this website.

You may use the Website to obtain information about our products, to contact us and to subscribe to our newsletter. You may unsubscribe from the newsletter at any time by using the link provided in each email.

The Website contains links to our applications and to third-party websites. We are not responsible for the content, availability or privacy practices of any website that is not operated by us.

3. Free products.

The Free Products are made available free of charge for educational use. The following conditions apply:

• Changes and withdrawal. We reserve the right to modify, limit, suspend or discontinue any Free Product, in whole or in part, at any time and without liability to you. We do not guarantee that any Free Product will remain available.
• Conversion to paid products. Any Free Product, or any feature of a Free Product, may become subject to a fee in future. We will give reasonable notice on the relevant product or on the Website before any fee applies. No fee will be charged unless you elect to purchase.
• No warranty. The Free Products are provided "as is" and "as available". They are intended to support teaching and do not replace professional judgement.

4. Teaching materials.

Paid Teaching Materials are sold through Lemon Squeezy, which acts as merchant of record. Lemon Squeezy processes payment, collects any applicable tax, issues receipts and delivers the purchased files. Lemon Squeezy's terms also apply to any purchase.

Subject to these Terms, we grant you a non-exclusive, non-transferable licence to use Teaching Materials:

• by a single teacher, or within the single school that obtained them;
• for classroom teaching purposes, including printing copies for students and displaying the materials in class; and
• in adapted form, for use with your own classes.

You must not sell, sublicense, publicly distribute or share Teaching Materials, including by uploading them to a public website, resource-sharing marketplace or social media platform, or by providing them to another school.

Refunds. As Teaching Materials are digital products, refunds are not generally available for a change of mind. This does not limit your rights under the Australian Consumer Law, including where a file is faulty or not as described. Requests should be directed to support@paperclipeducation.com.

Free Teaching Materials may be withdrawn, or made available only for a fee, at any time. Copies obtained before that change may continue to be used in accordance with the licence above.

5. Acceptable use.

You must not:

• use the Website, the Free Products or the Teaching Materials for any unlawful purpose, or to harass, mislead or harm any person;
• attempt to gain unauthorised access to any system or data, or test, probe or interfere with our systems without our prior written consent;
• copy, resell, reverse-engineer or create a competing product from our applications or materials; or
• scrape or bulk-download content from the Website or the Free Products.

We may suspend or block access for any person who breaches this clause.

6. Intellectual property.

All intellectual property rights in the Website, the Free Products and the Teaching Materials, including text, graphics, software and logos, are owned by or licensed to Paperclip Education. Except as expressly set out in these Terms, no rights are granted to you.

7. Privacy.

Our handling of personal information is described in our Privacy Policy.

8. Australian Consumer Law.

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by any legislation that cannot lawfully be excluded or limited.

9. Limitation of liability.

To the maximum extent permitted by law:

• the Website and the Free Products are provided without warranties of any kind, whether express or implied, and we are not liable for any loss or damage arising from their use;
• we are not liable for any indirect, incidental or consequential loss, including loss of profits, revenue or data; and
• our total liability in connection with any paid Teaching Material is limited to the amount you paid for that Teaching Material.

10. Changes to these terms.

We may amend these Terms from time to time. Amended Terms take effect when published on the Website, and the "Last updated" date above will be revised. Your continued use of the Website, the Free Products or the Teaching Materials after publication constitutes acceptance of the amended Terms.

11. Governing law.

These Terms are governed by the laws of South Australia, Australia. You submit to the non-exclusive jurisdiction of the courts of South Australia and the courts competent to hear appeals from them.
